一、矿产贸易一般流程
1-买方开LOI与BCL
2-卖方提供FCO或DRAFT CONTRACT
3-签署CONTRACT ，快递合同原件
4-买方开出DRAFT
L/C
5-卖方提供PB 一般为2个点
6-正式L/C
7-POP（可选，一般不用）
8-SHIPMENT
二、外贸术语：
1-LOI: Letter of Intention
(由买方出具的购货意向书)
2-ICPO: Irrevocable Corporate Purchase Order
(不可撤消的购买订单）
3-BCL: Bank Capacity
Letter(由买方出具的银行资金证明)或写成'Bank Conform Letter', 一个意思。
4-FCO: Full Corporate
Offer(卖方出具的负责的意向性合同),非正式合同,一般要在合同中注明:' This is not to be circulated and is only for the purpose
of this transaction only'
5-POF: Proof of Funds(由买方出具的资金证明),说明他开出的信用证已有资金保证.而BCL只能说明公司的资信.
6-POP: Proof of Product(产品证明),由律师出具,由第三者保存附带条件委付盖印的契约,送达买方银行.
7-PB: Performance Bond (履约保证金), LOI的关键条款,只有付了PB, 买方开出的信用证才有效.
信用证一般为不可撤消的保兑的即期信用证.
三、英文学习
1. Buyer issues LOI ( Letter of
Intent )
买方开具意向书。
2. Seller issues FCO ( Full Corporate Offer
)
卖方开具完整公司报价。
3. Buyer issues ICPO ( Irrevocable Corporate Purchase Order
)
买方开具不可撤消公司采购订单。
4. Buyer swift RWA (Ready, Willing, Able) for issuing of Financial
Instrument ( Text of DLC
)
买方开立金融工具（DLC文本）的SWIFT RWA（齐备的，同意的，可行的）。
5. Seller sends Contract and confirms
Procedure
卖方发出合同，确认手续。
6. Buyer signs Contract and sends copy by
email
买方签署合同，并以电子邮件回传副本。
7. Seller sends Hardcopy Contract by DHL or
equivalent
卖方以DHL寄发合同正式副本或相等的问价。
8. Buyer sends signed Hardcopy Contract and returns by DHL or
equivalent
买方以DHL寄发签署好的正式副本合同或相等文件。
9. Seller's Bank swift confirmation of POP and ready to issue 2%
PBG (Performance Bond
Guarantee)
卖方银行POP的SWIFT确认，并准备好开立2%履约保证金函。
10. Buyer's Bank issue Operative DLC acceptable to Seller's
Bank
买方银行开立卖方银行能够接受的有效DLC。
11. Seller's Bank issue Operative 2% PB and
POP
卖方银行开立有效的2%履约保证金函和POP。
12. 12. The First Delivery of the commodity will be done within
30-45 days from the date of acceptance of the DLC by Seller's Bank
and the following shipments as per
Contract
第一批货物将在收到卖方银行DLC之后30-45天内发运，以后的批次依照合同规定（履行）。
