Transfer和Assign的区别
assign 与transfer是合同表达权利转让时常用的词汇，关于这两个词的区别，元照英美法词典和英汉法律辞典讲解如下：
元照：
assign 让与，动产转让
transfer （所有权的）让与（把一个人的权利转让给另一人），财产等转让
英汉：
assign常指转让无形财产的权利；如assign a mark转让商标；assign a patent转让专利
transfer 为一般术语,可泛指各种转让

The Seller has the corporate power and authority to sell, transfer, assign and deliver such Transferred Shares as provided in this Agreement, and such delivery will convey to the Purchaser good and marketable title to such Transferred Shares, free and clear of any and all Liens.

转让方拥有权利和授权按本协议出售、转让、让与和交付该转让股份，且将向受让方交付的转让股份为完好适销证券，不存在任何担保权利。

This Agreement, and the rights and obligations hereunder, shall not be assigned without the mutual written consent of the Parties hereto, provided that the Purchaser may assign its rights and obligations to an Affiliate without consent of the other Parties under this Agreement.
未经本协议双方的书面同意，不得转让本协议和本协议项下的权利和义务，但是未经本协议项下其他方的书面同意，买方可以转让其权利给关联方（“关联方”）。
