第三条：乙方向甲方交付的文件 The third Article: The documents shall be delivered by Party B
1.乙方按照甲方的要求及提供的文件资料制作效果图，并在双方协商规定的时间内以电子文件（刻光盘 ）的形式交付甲方。
Party B produce rendering according to Party A's requirement and file provided by Party A, and deliver the soft copy file (CD) to Party A within the stipulated time by both parties.
2.甲乙双方商定自合同签订之日起 15 日内完成制作内容。即：

第四条：制作费用The fourth Article: production cost
双方商定制作费如下表，并奉送电子文件叁份。

2. 费用支付
（1）合同签定后，甲方支付
（2）乙方制作的效果图经甲方确认合格，并按本合同约定向甲交付成品及相应的电子文件后，甲方支付余款。
The renderings produced by Party B are confirmed by Party A as qualification if it is qualified, Party B deliver the finished product and the corresponding electronic documents accordance with the contract , part A shall pay the remain balance.
（3）乙方制作的效果图未能通过甲方验收, 乙方应根据甲方意见修改直至甲方验收通过，若逾期10日仍未能通过甲方验收，甲方有权依据本合同5.2.2条规定，解除本合同。
If the renderings submitted by Party B does not qualified for acceptance of Party A, Party B shall amended according to Party A requirement until it is accepted by Party A. If the amendment can not be pass Party A’s check and acceptance within 10 after the stipulated complete date, Party A has the right to terminate this contract in according to article 5.2.2 of this contract.
第五条：双方责任The fifth Article: The responsibility for both parties
1.甲方责任Party A responsibility:
（1）在确定效果图制作时，应向乙方提交本合同第二条规定的内容，并对其完整性、准确性、时限性负责。
When making rendering, Party A shall submit party B the provisions of the second article in this contract to Party B and responsible for its integrity, accuracy, time limit .
（2）甲方变更委托制作项目、规模、条件或因提交的资料有较大错误或所提资料作较大修改，以致造成乙方制作有较大返工时, （比如：变更已确认相机角度、修改已确认塌陷的模型、改变已确认的光照条件等），甲方应据实际工作量的增加情况，另加付费用，并适当顺延成品交付时间。双方另行协商签定补充合同（或另订合同）。
Party A changes the project, scale, conditions or application materials that have major mistake or proposed data has major change, so that Party B has to rework largely (such as: change the camera angle, collapse of the model, light condition already confirmed, etc.), Party A shall pay additional cost according to the actual situation of the workload increases, and the delivery time of product completed time shall postpone appropriately. Both sides can negotiate to sign supplementary contract (or re-conclude another contract).
（3）甲方如不能按约定时间看图（定模型、定相机、调材质等），应及时通知乙方，同时乙方有权按实际甲方看图情况顺延成品交付时间或另行安排项目完成时间。
If Party A can not preview the rendering at the specified time （to confirm the models, camera angle, adjusting materials and so on）, and shall promptly inform Party B, party B shall have the right to postpone the time for delivery of finished products or otherwise arranged for project completion time in according to the actual preview delete situation.
（4）在合同履行期间，甲方要求终止或解除合同，甲方应根据乙方进行的实际工作量支付制作费用，不足进程一半时，按制作费用的30%支付，超过一半时，按制作费用的50%支付，即将完成或已经完成时，则支付制作费的100%。
During the performance of the contract, Party A requests to terminate or cancel the contract, Party A shall pay according to the actual workload production costs of Party B, rendering completed less than half, Party A shall pay 30% according to the production process cost , more than half, Party A shall pay 50% according to the production costs, almost complete or has been completed, Party A shall pay 100% of the production costs.
（5）甲方应按本合同第四条第二项规定金额和时间向乙方支付制作费用。甲方逾期支付预付款一天以上时，乙方有权暂停下阶段工作，顺延进度时间。效果图以甲方确认结束，甲方支付余款，乙方交付最终的文件。
Party A shall pay the production costs on time to party B according to article 4.2 of this contract . If Party A delay to pay the advance payment more than a day, Party B has the right to suspend the next stage work, and postpone the time schedule. Rendering work completed with Party A's confirmation, Party A shall pay the remain balance to Party B, and Party B deliver the rest of final documents.
2.乙方责任 Party B responsibility:
（1）乙方应根据甲方提供的图纸资料进行制作，未经甲方许可，不得擅自更改设计方案。乙方应积极配合甲方完成效果图的制作。
Party B should make the renderings according to the drawing materials provided by Party A .Without Party A's permission, Party B couldn't change the design scheme. Party B should cooperate with Party A to complete rendering production.
（2）在制作过程中，由于乙方自身原因工作延误并造成甲方损失，乙方应当赔偿因此给甲方造成的损失，逾期超过10日的，甲方有权解除本合同，乙方自接到解除通知之日起5日返还已收取的预付款，并向甲方支付合同总价款30%的违约金。
（3）合同生效后，乙方单方终止或解除合同，乙方应返还已收的制作费，并向甲方支付合同总价款30%的违约金。
After contract become effective, Party B unilaterally to terminate or cancel the contract, party B shall return the received payment, and pay 30% of the total contract price to Party A as the liquidated damages.
（4）甲方提供的图纸资料版权属甲方所有，乙方不得向第三方扩散、转让甲方提交的图纸、资料，如发生以上情况，甲方有权索赔。乙方可以利用成品做自身企业的宣传广告，但不得以赢利为目的向第三方进行出售。
copyright of the drawing material provides by Party A belongs to Party A, Party B shall not spread or transfer the drawings, materials submission by Party A to a third party. If above circumstance occurred, Party A have the right to claim for compensation. Party B may use the finished products to do their own enterprise promotion advertisements, but shall not profit for the purpose to third party for sale.
（5）甲方已确认的工作流程，有所修改，如果各项修改之和不超过半天时间，乙方不得另收费用。

第六条：其他Miscellaneous
1.双方应本着友好合作、互相尊重的原则，共同遵守本合同所列条款。
2.乙方应以服务于客户为理念，为客户提供优质高效的服务和产品。
Party B should conceptual to provide service to customers, to provide high quality services and products.
3.由于人力不可抗拒之因素致使合同无法履行时，双方应及时协商解决。
The force majeure causes the contract fail to be performed, the parties shall settle with negotiating promptly.
4.本合同在履行过程中发生纠纷时，应及时协商解决。协商不成，双方同意由双方所在地的任何一方仲裁委员会仲裁。
If dispute occurrence during the performance of this contract, should settle with negotiating promptly. If the negotiating fail, the two sides agreed to submit it to the either party local arbitration commission for arbitration.
5.合同未尽事宜，双方可签定补充协议作附件，补充协议与本合同具有同等法律效力。
Matters not concerned in this contract, both sides can sign supplementary agreement as appendix; the supplementary agreement and this contract are equally valid.
6.本合同一式两份，双方各执一份。 Two copies of this contract, each party holds one.

2. 费用支付
（1）合同签定后，甲方支付
（2）乙方制作的效果图经甲方确认合格，并按本合同约定向甲交付成品及相应的电子文件后，甲方支付余款。

第五条：双方责任The fifth Article: The responsibility for both parties

（1）在确定效果图制作时，应向乙方提交本合同第二条规定的内容，并对其完整性、准确性、时限性负责。
When making rendering, Party A shall submit party B the provisions of the second article in this contract to Party B and responsible for its integrity, accuracy, time limit .
（2）甲方变更委托制作项目、规模、条件或因提交的资料有较大错误或所提资料作较大修改，以致造成乙方制作有较大返工时, （比如：变更已确认相机角度、修改已确认塌陷的模型、改变已确认的光照条件等），甲方应据实际工作量的增加情况，另加付费用，并适当顺延成品交付时间。双方另行协商签定补充合同（或另订合同）。
